In addition to the the tidy(1) utility already mentioned by Mukul, you
might want to try xmllint(1), which sometimes works better.

    $ whatis xmllint
    xmllint (1) - command line XML tool

xmllint --html --xmlout your.html > your.xml

Both are available for Windows, too.
