Use two xsl:key declarations with the same name:

<xsl:key name="prodCode" match="z:row[@FacilityId]"
  use="concat(@FacilityID,':',@ProductCode)"/>
<xsl:key name="prodCode" match="z:row[not(@FacilityId)]" 
  use="@ProductCode" />
