problem with xsl:variable and xsl:param

Hi,
I am trying to use xsl:variable or xsl:param in my style sheet.
It is giving me following error in IE5 msxml3.0.
"keyword xsl:variable may not be used"
I am not able to find the solution. Any help will be appriciated.
