Have a closer look at production 9:

	[9] EntityValue ::=
		'"' ([^%&"] | PEReference | Reference)* '"' |
		"'" ([^%&'] | PEReference | Reference)* "'"

Which _does_ say that you can't have a raw '&' in an entity value etc.
That's what the excslusion syntax means.
